Welcome to Storvly. By accessing or using our platform, you agree to be bound by these Terms of Service. Please read them carefully. If you do not agree with any part of these terms, you may not use our services.

1. About Storvly

Storvly is a multi-vendor e-commerce platform that enables individuals and businesses ("Vendors") to create and manage online stores, list products, and receive payments from customers ("Buyers") across Nigeria and beyond. The platform is owned and operated by STORVLY NIGERIA LIMITED.

2. Eligibility

To use Storvly, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Not be prohibited from using our services under applicable law

3. Vendor Accounts & Responsibilities

As a Vendor on Storvly, you agree to:

Accurate Listings

All product listings must be accurate, truthful, and comply with Nigerian law. You may not list counterfeit, prohibited, or illegal items.

Order Fulfilment

You are solely responsible for fulfilling orders placed by Buyers, including delivery, packaging, and customer service for your store.

Account Security

You are responsible for maintaining the security of your account credentials. Do not share your password with third parties.

Compliance

You must comply with all applicable laws, including consumer protection, tax, and advertising regulations in Nigeria.

4. Payments & Commissions

Payment Processing

All payments on Storvly are processed by Paystack (Paystack Payments Limited), a licensed payment service provider regulated by the Central Bank of Nigeria. By making or receiving payments on the platform, you agree to Paystack's terms of service and privacy policy. Storvly does not store or have access to your payment card details.

Platform Commission

Storvly charges a platform commission on each successful transaction. Commission rates are disclosed at the time of plan selection and may vary by subscription tier. Commission is calculated as a percentage of the transaction value (excluding delivery fees charged by vendors). Storvly reserves the right to modify commission rates with 30 days' notice to active vendors.

Payouts

Vendor payouts are processed according to the Paystack settlement schedule (typically T+1 or T+2 business days) minus applicable platform commission and payment gateway fees. Storvly does not hold vendor funds beyond the settlement period. Payouts require valid bank account information. Failed payouts due to incorrect banking details are the vendor's responsibility.

Refunds & Chargebacks

Refund eligibility and processing are governed by the individual Vendor's store refund policy, which must comply with Nigerian Consumer Protection Council (CPC) regulations. Storvly may facilitate refund requests in cases of platform error, non-delivery, or fraud. Vendors bear full responsibility for chargebacks initiated by customers. Excessive chargeback rates may result in account suspension.

Transaction Fees

Paystack charges transaction fees in accordance with their published fee schedule (typically 1.5% + ₦100 per transaction, capped at ₦2,000). These fees are automatically deducted from payouts. Additional fees may apply for international card transactions or bank transfers.

5. Subscription Plans

Storvly offers multiple subscription tiers (Starter, Growth, Scale). Each plan includes specific feature limits. Subscription fees are billed in advance and are non-refundable except where required by law. Storvly reserves the right to modify plan pricing with 30 days' notice.

6. Prohibited Conduct

You may not use Storvly to:

  • List, sell, or distribute illegal products or services
  • Engage in fraudulent transactions or chargebacks abuse
  • Harvest user data or spam customers
  • Impersonate another business or person
  • Attempt to reverse-engineer, hack, or disrupt the platform

7. Account Suspension & Termination

Storvly reserves the right to suspend or permanently terminate any account that:

  • Violates these Terms of Service
  • Engages in fraudulent, abusive, or illegal activity
  • Receives repeated, verified complaints from Buyers
  • Has outstanding subscription payments after a grace period

Where possible, we will notify you before suspension. In cases of fraud or serious policy violations, immediate suspension may occur without prior notice.

8. Communications & Notifications

WhatsApp Business Notifications

Storvly uses the Meta WhatsApp Business API (provided by Meta Platforms, Inc.) to send transactional notifications including order confirmations, payment updates, payout alerts, and account security messages. By providing your WhatsApp-enabled phone number and completing verification, you consent to receive these messages. You may opt out at any time via your account settings, but this may limit your ability to receive time-sensitive updates about your store operations.

SMS Notifications

When WhatsApp delivery is unavailable, Storvly may send critical notifications via SMS through Termii (Termii Inc.), our licensed SMS provider. SMS notifications are used as a fallback channel for OTP verification codes and urgent account alerts. Standard SMS rates from your mobile carrier may apply.

Email Communications

We will send transactional emails (order confirmations, password resets, account notices) to your registered email address. You may not opt out of transactional emails as they are essential to service delivery. Marketing emails may be opted out via the unsubscribe link in each message.

Message Delivery

Storvly makes commercially reasonable efforts to deliver notifications but does not guarantee delivery due to factors beyond our control (network outages, phone number changes, carrier restrictions). You are responsible for maintaining accurate contact information and checking your dashboard regularly for critical updates.

Third-Party Terms

Use of WhatsApp and SMS services is subject to the respective terms of Meta and Termii. Storvly is not responsible for service interruptions, policy changes, or account restrictions imposed by these third parties.

9. Third-Party Services & Integrations

Storvly integrates with the following third-party service providers to deliver platform functionality:

Paystack (Payment Processing)

Handles all payment transactions, customer card data, and vendor payouts. Licensed by the Central Bank of Nigeria (CBN).

Meta WhatsApp Business API

Delivers transactional WhatsApp messages to vendors. Operated by Meta Platforms, Inc.

Termii (SMS Gateway)

Provides SMS delivery for OTP codes and fallback notifications. Licensed telecommunications service provider.

Amazon Web Services (AWS)

Hosts platform infrastructure and stores uploaded content (product images, store assets).

Meta Pixel & Google Analytics

Optional analytics tools available to vendors for tracking storefront performance and advertising effectiveness.

By using Storvly, you acknowledge that your data may be processed by these third parties in accordance with their respective privacy policies and terms of service. Storvly is not liable for the acts, omissions, or policies of third-party service providers.

10. Intellectual Property

All platform content, branding, software, and design elements (including but not limited to the Storvly logo, themes, codebase, and documentation) are the exclusive property of Storvly Nigeria Limited and are protected by Nigerian and international copyright, trademark, and intellectual property laws.

Vendor Content Ownership

Vendor-uploaded content (product images, descriptions, store names, logos) remains the intellectual property of the Vendor. By uploading content, you grant Storvly a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute it on the platform for the purpose of operating your store and promoting the Storvly marketplace.

Vendor Representations

You represent and warrant that you own or have the necessary rights to all content you upload, and that such content does not infringe on the intellectual property rights of any third party. You are solely responsible for obtaining any required permissions, licenses, or releases.

DMCA & Copyright Infringement

Storvly respects intellectual property rights. If you believe content on the platform infringes your copyright, please contact us at legal@storvly.com with: (a) identification of the copyrighted work, (b) location of the infringing material, (c) your contact information, and (d) a statement of good faith belief that use is unauthorized. We will investigate and remove infringing content where appropriate.

Platform Use Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Storvly platform or its underlying software. Reverse engineering, decompiling, or attempting to extract the source code is strictly prohibited.

11. Indemnification

You agree to indemnify, defend, and hold harmless Storvly Nigeria Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms of Service
  • Your violation of any applicable law, regulation, or third-party rights (including intellectual property, privacy, or consumer protection rights)
  • Content you upload or actions you take on the platform
  • Disputes with buyers regarding product quality, delivery, refunds, or warranty claims
  • Unauthorized access to your account resulting from failure to secure your credentials

This indemnification obligation survives termination of your account and your use of the Storvly platform.

12. Limitation of Liability & Disclaimers

IMPORTANT LEGAL NOTICE:

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, STORVLY AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or inability to access the platform
  • Any conduct or content of third parties on the platform, including vendors and buyers
  • Unauthorized access, use, or alteration of your transmissions or content
  • Statements or conduct of any third party on the platform
  • Delays, errors, or failures in payment processing or notification delivery caused by third-party service providers
  • Product defects, non-delivery, or disputes between vendors and buyers
  • Platform downtime, security breaches, or data loss (except where caused by gross negligence)

"As Is" Service

Storvly provides the platform "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure.

Liability Cap

In no event shall Storvly's total liability to you for all damages, losses, and causes of action exceed the amount paid by you to Storvly in the twelve (12) months preceding the claim, or ₦100,000 (One Hundred Thousand Naira), whichever is less.

Vendor-Buyer Disputes

Storvly is not a party to transactions between vendors and buyers. Disputes regarding product quality, delivery, authenticity, or refunds are solely between the vendor and buyer. Storvly may, at its sole discretion, assist in mediation but is under no obligation to do so.

Force Majeure

Storvly shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, fuel, energy, labor, or materials.

13. Dispute Resolution & Arbitration

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of Storvly, you agree to the following process:

Step 1: Informal Resolution

Contact Storvly support at support@storvly.com to attempt informal resolution. We commit to responding within 5 business days.

Step 2: Mediation

If informal resolution fails, you agree to participate in good-faith mediation administered by a neutral third party mutually agreed upon by both parties.

Step 3: Arbitration

If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act (Cap A18 LFN 2004) of Nigeria. Arbitration shall be conducted in Lagos, Nigeria, in English, by a single arbitrator appointed in accordance with the Act. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any proceedings will be conducted on an individual basis, not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit against Storvly.

14. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Subject to the arbitration provisions above, you agree to submit to the exclusive jurisdiction of the courts located in Lagos State, Nigeria, for the resolution of any disputes not resolved through arbitration.

Applicable Nigerian laws include but are not limited to: the Consumer Protection Council Act 2019, the Nigerian Data Protection Regulation (NDPR) 2019, the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and relevant e-commerce regulations issued by regulatory authorities.

15. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices published on the platform, constitute the entire agreement between you and Storvly concerning your use of the service. They supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Storvly.

16. Assignment & Survival

Storvly may assign or transfer these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer these Terms without our prior written consent.

Provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution clauses.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify active users via email and/or prominent notice on the platform at least 30 days before material changes take effect (14 days for minor clarifications). Continued use of the platform after changes constitute acceptance of the new terms. If you do not agree to the modified terms, you must discontinue use of Storvly and may request account closure within the notice period.
